By submitting Entry Content, You represent and warrant, on a continuing basis, that:
8.1. You are the sole author, performer and owner of the Entry Content, or have obtained all rights, licences, consents and permissions necessary to submit it and to grant the rights in Clause 9. Specifically, You represent and warrant that:
(a) You are the sole and exclusive owner or has adequate licenses in respect of all copyright and other intellectual property rights in and to the Entry Content, including all text, musical works, dialogue, sound recordings, images, audio, video, and other materials contained therein; or

(c) You are solely responsible for ensuring that the Entry Content does not infringe upon the copyright, trademark, privacy, publicity, or other rights of any third party. Organisers assume no responsibility for verifying the originality of Entry Content or the existence of any required licenses, and shall bear no liability for any claims, damages, or disputes arising from your failure to secure appropriate rights.
8.2. The performance, interpretation, choreography and/or delivery You contribute in the Entry Content is Your own and original to You. Where Your Entry Content incorporates permitted audio under Clause 6 or a script or brief issued by the Organisers, this warranty applies to Your performance of that material and not to the underlying audio, composition, script or brief itself, which remains the property of its respective owner. Where Your Entry Content incorporates other audio under Clause 6 or a script or brief not issued by the Organisers, this warranty applies to Your performance of that material and not to the underlying audio, composition, script or brief itself, in respect of which you have sought necessary licenses and which remains the property of its respective owner. 8.5. You are participating voluntarily and at Your own risk, and You are physically and medically fit to perform the acts depicted in Your Entry Content.
8.6. The performance depicted in the Entry Content is Your own genuine, real-time and unaided performance, given by You personally at the time of filming, and complies in full with Clause 7.7.
9. Ownership, Consent and Grant of Rights
9.1. Ownership of Entry Content. As between You and the Organisers, You retain ownership of the underlying copyright in Your original performance, save to the extent assigned under Clause 9.3.
9.2. Ownership of the Property. The Big Break, including its name, logo, format, concept, structure, briefs, scripts, themes, graphics, music, episodic content and all derivative works, is and remains the exclusive property of the Owners. Nothing in these Terms grants You any right, title or interest in the Property. You must not replicate, adapt, franchise, register or commercially exploit the format, name or logo in any manner.
9.3. Licence granted by You. Organisers expressly acknowledge and understand that the Entry Content is user-generated content and created exclusively by You. You hereby grant to the Organisers, and to their licensees, sponsors, broadcasters, OTT partners and assigns, an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, fully sub-licensable and transferable licence to use, reproduce, store, edit, adapt, dub, subtitle, translate, excerpt, combine, publish, broadcast, stream, distribute, promote, archive and otherwise exploit the Entry Content, in whole or in part, in any and all media now known or hereafter devised, including social media, YouTube, OTT platforms, television, on-ground events, advertising, promotional and marketing material, and sponsor-associated content, without any further consent, credit, notice, approval or payment to You. Where Entry Content incorporates permitted audio under Clause 6, this licence extends to Your performance, visual contribution and video recording; rights in the underlying audio, composition or sound recording are separately licensed by the Organisers directly with the relevant rights-holder and do not form part of the licence granted by You under this Clause 9.3.

9.5. No compensation. You acknowledge that no fee, royalty, remuneration, revenue share or other consideration of any kind is payable to You in respect of Phase 1, the Entry Content, or any use of the rights granted under this Clause 9. Participation is not employment, engagement, partnership, agency or a contract for services, and creates no such relationship.
9.6. Moral rights. To the fullest extent permitted by law, You waive, and agree not to assert, any moral rights or rights of paternity and integrity under Section 57 of the Copyright Act, 1957 in respect of any edit, adaptation, abridgement, translation or use of the Entry Content by the Organisers. Where such waiver is not permitted by law, You irrevocably consent to all such acts.
9.7. No obligation to use. The Organisers are under no obligation to use, publish, retain or credit any Entry Content.
9.8. Similar material. You acknowledge that the Organisers receive a very large volume of submissions and independently develop content. You waive any claim arising from any similarity between the Property (or any part of it) and Your Entry Content or any idea, format or concept You may communicate.
9.9. Personal data. Personal data collected from You will be processed in accordance with these Terms and the Digital Personal Data Protection Act, 2023, for the purposes of administering the Property, verifying eligibility, communicating with Applicants, producing and promoting content, and complying with law. By submitting, You give informed consent to such processing and to transfer of Your data to the Organisers’ service providers, platforms, sponsors and legal advisors for those purposes. 10.1. Phase 1 acceptance carries no entitlement to selection for Phase 2, to travel to Mumbai, to appear in any episode, to meet any Mentor or Judge, or to any prize, opportunity or role. Phase 1’s acceptance further carried no obligation on the Organizers to publish the Entry Content on any Official Channels.
10.2. Applicants shortlisted for Phase 2 will be required to execute separate written agreements, including an artist release and a management agreement, on the Organisers’ standard terms. Progression is conditional on execution of those agreements, on satisfactory background and eligibility verification, and on production of identity, age and consent documentation.
10.3. Those separate agreements will govern the Phase 2 and Phase 3 relationship and, to the extent of any conflict, will prevail over these Terms.
10.4. No representation, promise or assurance made orally, on social media, or by any third party (including any casting agent, coordinator, coach, agency or intermediary) is binding on the Organisers. Only written communications from the Official Channels or from an authorised email domain of the Organisers are valid.
11. Decisions of the Mentors and Judges
11.1. All decisions of the Mentors and Judges, including acceptance, non-acceptance, shortlisting, scoring, elimination, advancement, and the selection of winners, are subjective, discretionary, creative editorial judgements.

11.4. By submitting Entry Content, You irrevocably waive any right to challenge, dispute, question or seek review of any decision of the Mentors and Judges, whether before any court, tribunal, arbitral forum, consumer forum or authority, and You agree that no such decision gives rise to any cause of action.
12. Disqualification and Removal
12.1. The Organisers may, at their sole and absolute discretion and without notice, reject any Entry Content, disqualify any Applicant at any stage (including retrospectively, after selection), remove content from any Official Channel, and block or report any account, where the Organisers believe in good faith that: (a) these Terms, the Submission Guidelines or any platform community guideline have been breached; (b) any warranty in Clause 8 is untrue or misleading; (c) the Applicant has engaged in fraud, impersonation, plagiarism, manipulation or misconduct; (d) continued participation would expose the Organisers, any platform, any sponsor or the Property to legal, regulatory or reputational risk; or (e) the Applicant is ineligible under Clause 3.
12.2. Disqualification does not terminate the licence granted in Clause 9.3 in respect of Entry Content already submitted.
12.3. Disqualification gives rise to no claim for compensation, reinstatement or damages by the Applicant.
12.4. Authenticity-based disqualification and clawback. Without prejudice to the generality of Clause 12.1(a), disqualification under this Clause 12 expressly extends to any case where the Entry Content is found, at any time, including after selection, shortlisting, or the conferral of any prize, contract, opportunity or public recognition, not to be the Applicant’s own real-time, unaided performance under Clause 7.7. In such event, the Organisers may rescind, reclaim or require the return of any prize, contract, opportunity or public recognition already conferred, and the Applicant has no claim of any kind in respect of such rescission.
13. Indemnity
13.1. You agree to indemnify, defend and hold harmless the Organisers, the Producer, any production or creative agencies engaged by the Organisers, the Mentors and Judges, their respective affiliates, sponsors, licensees, broadcasters, OTT partners, platforms, officers, directors, employees and agents, from and against all claims, demands, actions, proceedings, losses, damages, liabilities, penalties, fines, takedowns, strikes, costs and expenses (including legal fees) arising out of or in connection with: (a) Your Entry Content, including any allegation of infringement of copyright, trade mark, personality, privacy or moral rights; (b) any breach by You of these Terms, the Submission Guidelines, any platform community guideline, or any applicable law; (c) any untrue warranty or misrepresentation by You; (d) any claim by any third person appearing in, contributing to, or claiming rights in Your Entry Content; and (e) any injury, loss or damage suffered by You or caused by You in the course of creating or submitting Entry Content.

14. Limitation of Liability and Disclaimer
14.1. Participation is entirely at Your own risk. The Organisers are not liable for any injury, loss, damage, cost or expense suffered by You in connection with the creation, submission or use of Entry Content.

15. Grievance Redressal
15.1. For grievances relating to Phase 1 that are not resolved through the platform, or that relate to the Organisers directly, You may write to: help@thebigbreak.in. A member of the Organisers’ team will respond.
15.2. Grievances must be submitted in writing, in English or Hindi, and must include the Applicant’s name, contact details, the handle used for submission, the date of submission, a clear description of the grievance and any supporting material.
15.3. The Organisers will endeavour to dispose of the grievance within thirty (30) days of receipt. These timelines are voluntarily adopted by the Organisers as a matter of good practice and do not constitute an admission that any timeline applies to the Organisers under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 or otherwise.
15.4. No grievance seeking review of, or challenging, a decision of the Mentors and Judges (Clause 11), seeking disclosure of selection criteria or scoring, or seeking compensation for non-selection will be entertained.
15.5. Anonymous, abusive or repetitive grievances may be closed without response.
16. Dispute Resolution

Failing resolution, any dispute, controversy or claim arising out of or relating to these Terms, including its existence, validity, breach or termination, will be referred to and finally resolved by a sole arbitrator under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the Producer. The seat and venue of arbitration will be Mumbai, Maharashtra. The language of arbitration will be English. The award will be final and binding.
16.3. Each party will bear its own costs of arbitration.
16.4. Governing law and jurisdiction. These Terms are governed by the laws of India. Subject to Clause 16.2, the courts at Mumbai, Maharashtra have exclusive jurisdiction.
